IN NO EVENT SHALL DEWEY'S PIZZA'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT PAID BY YOU TO DEWEY'S PIZZA IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM; OR (B) ONE HUNDRED UNITED STATES DOLLARS ($100.00).

7.3 Essential Basis

The limitations of liability set forth in this Section reflect a reasonable allocation of risk and form an essential basis of the agreement between the parties. Dewey's Pizza would not have provided the Services without these limitations.

7.4 Jurisdictional Exceptions

We may freely assign, transfer, or delegate our rights and obligations under these Terms, including in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of our assets. Any purported assignment in violation of this provision shall be null and void.

Dewey's Pizza shall not be liable for any failure or delay in performance of our obligations under these Terms arising from causes beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemics, labor disputes, governmental actions, power outages, internet service disruptions, supply chain issues, or other circumstances beyond our reasonable control. We will make reasonable efforts to notify you of such circumstances and to resume normal operations as soon as reasonably practicable.

15.5 No Third-Party Beneficiaries

These Terms are for the sole benefit of you and Dewey's Pizza and their respective successors and permitted assigns. Nothing in these Terms shall create or be deemed to create any rights in or for the benefit of any third party.
